Terms of Service

By accessing or using AEO Optima ("Service"), operated by AEO Optima ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must not access or use the Service. Your continued use of the Service following the posting of changes constitutes acceptance of those changes.

These Terms incorporate by reference our Privacy Policy, Cookie Policy, and Acceptable Use Policy.

To use the Service, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law
• If using on behalf of an organization, have the authority to bind that organization to these Terms

The Service is designed for business and professional use. It is not intended for personal consumer use unrelated to business activities.

You must create an account to use the Service. You may register using an email address and password, or through Google OAuth authentication. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

Accounts are organized within Organizations and Projects. The account owner or administrator is responsible for managing team members and their access levels (owner, admin, member, or viewer roles).

We reserve the right to suspend or terminate accounts that violate these Terms or our Acceptable Use Policy, or that we reasonably believe have been compromised.

AEO Optima is an Answer Engine Optimization (AEO) platform that helps businesses track, analyze, and improve their visibility across AI-powered answer engines. The Service includes:

• Snapshot Capture — Automated monitoring of how AI models (including ChatGPT, Claude, Gemini, and Perplexity) respond to prompts relevant to your brand
• Analytics & Insights — Dashboards, trend analysis, sentiment analysis, mention rate, visibility scores, and share of voice metrics
• Intelligence Center — Six proprietary intelligence scores (BNCI, CMCS, MEI, SDI, CIPS, ETAS) and computation engines that surface drivers behind visibility changes
• Goal-Based Planning — Goal targets, milestone tracking, and pace-status monitoring
• Action Verification — Recommendation lifecycle tracking with follow-up snapshots that measure the lift produced by each completed action
• GEO Audit — Generative Engine Optimization scoring and recommendations
• Page Optimization — AI-powered analysis and recommendations for your web pages
• SERP Tracking — Search engine results page monitoring for AI-related queries
• Reports & Exports — Scheduled reports, PDF exports, and data downloads
• API & MCP Access — Programmatic access via REST API and Model Context Protocol server
• Integrations — Google Analytics 4, Google Search Console, webhooks, and optional third-party connectors (Shopify, Slack, Looker, Bing Webmaster, Reddit, Wikipedia, and more)

Features available to you depend on your subscription plan. We may modify, add, or discontinue features with reasonable notice.

The Service is offered under tiered subscription plans: Free, Starter, Professional, and Enterprise. Each plan includes specific usage limits and feature access as described on our pricing page and documentation.

Billing Terms:

• Paid subscriptions are billed in advance on a monthly or annual basis through Stripe, our payment processor
• All fees are exclusive of applicable taxes, which will be added where required by law
• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
• Price changes will be communicated at least 30 days in advance and take effect at the next billing cycle
• Failed payment attempts may result in temporary service suspension until payment is resolved

Free Plan:

The Free plan provides limited access at no cost. We reserve the right to modify Free plan limits or availability. Free plan accounts inactive for more than 12 months may be subject to deletion after notice.

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• You will not be charged for subsequent billing periods after cancellation
• Your data will be retained for 30 days after your subscription expires, after which it may be permanently deleted
• You may export your data at any time before deletion through the reports and export features

Refund Policy:

• Annual subscriptions may be eligible for a prorated refund within the first 14 days of purchase
• Monthly subscriptions are generally non-refundable, but we may consider refund requests on a case-by-case basis
• EU/EEA customers: You have a 14-day withdrawal right for online purchases under the Consumer Rights Directive. To exercise this right, contact us at billing@techshu.ai

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to manipulate or game AI engine responses through deceptive means
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Circumvent rate limits, plan restrictions, or security measures
• Use the Service to build a competing product or service
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute access to the Service without authorization

Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account.

The Service provides programmatic access through a REST API and a Model Context Protocol (MCP) server. Use of these interfaces is subject to the following additional terms:

• API access requires authentication via bearer tokens or OAuth 2.1 with PKCE
• Rate limits apply per your subscription plan (e.g., 60 requests per minute, 1,000 per hour)
• You must not share API tokens or credentials. Tokens that are suspected of being compromised will be revoked
• Automated capture requests are limited (e.g., 10 captures per hour) to prevent abuse
• API access may be restricted or revoked if we detect misuse, excessive load, or behavior inconsistent with normal platform usage

API and MCP access availability depends on your subscription plan. We may modify API endpoints, parameters, or behavior with reasonable advance notice.

Our Property:

The Service, including its design, code, algorithms, documentation, and branding, is owned by AEO Optima and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

Your Content:

You retain ownership of the data, prompts, configurations, and other content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive license to process, store, and display it solely for the purpose of providing the Service to you.

Feedback:

If you provide suggestions, feedback, or ideas about the Service, you grant us an unrestricted, irrevocable license to use that feedback for any purpose without obligation to you.

The Service captures and displays responses generated by third-party AI models (including but not limited to OpenAI GPT, Anthropic Claude, Google Gemini, and Perplexity). Regarding this AI-generated content:

• No Guarantee of Accuracy: AI-generated responses may contain inaccuracies, hallucinations, outdated information, or biased perspectives. We do not verify, endorse, or guarantee the accuracy of any AI-generated content captured by the Service
• Not Our Content: AI-generated responses are produced by third-party models. We are not the author, publisher, or endorser of this content
• Intellectual Property: The intellectual property status of AI-generated content is evolving and varies by jurisdiction. We make no representations about your ownership rights in AI-generated content
• Third-Party Terms Apply: AI model outputs are subject to the terms and policies of their respective providers (e.g., OpenAI Terms of Use, Anthropic Acceptable Use Policy, Google Terms of Service)

You acknowledge that AI model behavior changes over time, and historical snapshots may not reflect current AI model responses.

The Service integrates with and relies on various third-party services, including:

• OpenRouter — for routing requests to AI models
• Stripe — for payment processing and subscription management
• Supabase — for authentication and data storage
• Google — for OAuth authentication and Google Analytics 4 integration
• Resend — for email delivery

Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy. By using the Service, you consent to the data practices described therein.

We implement industry-standard security measures including encryption of data in transit and at rest, API key encryption, and role-based access controls. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted, error-free, or secure access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED BASIS, OR BE ERROR-FREE.

WE SPECIFICALLY DISCLAIM ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT CAPTURED BY THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AEO OPTIMA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless AEO Optima and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content submitted through the Service.

You may terminate your account at any time by contacting us or using the account settings. We may suspend or terminate your access if:

• You breach these Terms or the Acceptable Use Policy
• Your payment is overdue and unresolved after notice
• We are required to do so by law
• We reasonably believe your account has been compromised or is being used fraudulently
• We discontinue the Service (with at least 30 days' notice where practicable)

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

We respect intellectual property rights. If you believe that content available through the Service infringes your copyright, you may submit a DMCA takedown notice to our designated agent at legal@techshu.ai including:

• Identification of the copyrighted work claimed to be infringed
• Identification of the material that is claimed to be infringing
• Your contact information
• A statement that you have a good faith belief that use of the material is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

Please note that AI-generated content captured by the Service is produced by third-party AI models and may need to be addressed directly with the AI model provider.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

For EU/EEA residents: Nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence. You may also use the European Commission's Online Dispute Resolution platform.

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you via email or an in-app notification at least 30 days before material changes take effect
• For significant changes, we may require you to re-accept the Terms

Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.

Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and AEO Optima regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or internet or infrastructure failures.
